TERMS OF USE

Effective Date: August 30, 2026
These Terms of Use (“Terms”) govern your access to and use of the Liquid Helix website, including liquidhelix.gg, Liquid Helix online services and the Liquid Helix recruiting platform, including Helix Hub (collectively, the “Services”).
The Services are operated by CVC Unlimited, Inc., doing business as Liquid Helix (“Liquid Helix,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, registering for an event, or otherwise using any portion of the Services, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you should not use the Services.
1. ABOUT LIQUID HELIX
Liquid Helix operates esports recruiting showcases and related services designed to connect high school esports players, high school programs, families, and collegiate esports programs.
Liquid Helix may provide services including:
- esports recruiting showcases and related events;
- team and player registration;
- player recruiting profiles;
- high school coach accounts and team management tools;
- college coach accounts and recruiting tools;
- player information and recruiting materials made available to authorized college coaches;
- event scheduling and information;
- educational sessions and related programming;
- communications concerning Liquid Helix events and services; and
- other features, products, or services that Liquid Helix may introduce.
Liquid Helix may modify, expand, discontinue, or replace features of the Services from time to time.
2. ELIGIBILITY AND MINORS
You must be at least 13 years old to create or use a Liquid Helix account.
If you are under 18 years old, you may use the Services only with the involvement and permission of your parent or legal guardian where required.
Participation in a Liquid Helix event may require additional agreements, consents, releases, or waivers. For minors, Liquid Helix may require a parent or legal guardian to review and sign applicable participation agreements or waivers before the minor is permitted to participate.
Creating an account does not by itself make a user eligible to participate in an event.
We may suspend or restrict an account if we reasonably believe the user does not satisfy applicable eligibility requirements.
3. ACCOUNTS
Certain features of the Services require an account.
When creating or maintaining an account, you agree to provide accurate, current, and complete information and to update that information as necessary.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- activities conducted through your account;
- using reasonable security practices to protect your account; and
- promptly notifying Liquid Helix if you believe your account has been accessed or used without authorization.
You may not share login credentials with another person in a manner that allows unauthorized access to the Services.
Liquid Helix may require verification of account information or eligibility before providing access to certain portions of the Services.
4. PLAYER PROFILES AND RECRUITING INFORMATION
Players participating in Liquid Helix programs may create recruiting profiles containing information such as contact information, academic information, graduation information, esports experience, game-specific information, positions or roles, competitive history, recruiting interests, and other information relevant to collegiate esports recruiting.
The purpose of these profiles is to facilitate recruiting and evaluation.
Depending on the applicable event or Service, profile information may be made available to:
- the player;
- the player’s parent or legal guardian, where applicable;
- authorized representatives of the player’s high school or esports program;
- college coaches, recruiters, or other authorized representatives of collegiate programs;
- Liquid Helix personnel and service providers as necessary to operate the Services; and
- other persons as described in our Privacy Policy or specifically disclosed when information is collected.
Users should not include sensitive personal information in a profile unless Liquid Helix specifically requests that information.
Liquid Helix may establish different levels of access to player information depending on the user’s role, event participation, authorization status, or other criteria established by Liquid Helix.
5. HIGH SCHOOL COACH AND PROGRAM RESPONSIBILITIES
High school coaches, advisors, administrators, or other representatives using the Services on behalf of a school or esports program represent that they have authority to do so.
When adding players to a team, roster, or Liquid Helix event, the high school representative is responsible for providing accurate roster information and for complying with applicable school policies concerning the submission of player information.
High school representatives may be asked to review or verify player or team information. Such verification is intended to assist with the accuracy and administration of the Services and does not make the high school representative responsible for independently verifying every statement supplied by a player or parent unless otherwise stated.
Participation in an event may also be governed by separate coach participation terms, waivers, codes of conduct, or event rules.
6. COLLEGE COACH AND RECRUITER ACCESS
Certain portions of the Services may be limited to verified college coaches, recruiters, collegiate esports personnel, or other authorized users.
Information made available through a college coach account is provided for legitimate recruiting, scouting, evaluation, and related collegiate program purposes.
College coaches and other authorized collegiate users may not:
- sell or commercially distribute player information;
- publish player profile information publicly without appropriate authorization;
- provide account access to unauthorized individuals;
- scrape, systematically download, harvest, or compile player information outside the normal functionality of the Services;
- use player information for unrelated marketing or solicitation; or
- use information obtained through Liquid Helix in violation of applicable law or institutional policy.
Authorized college coaches may retain recruiting information reasonably necessary for legitimate recruiting purposes, subject to applicable law and institutional policies.
Access to Liquid Helix player profiles does not grant ownership of the information or of the Liquid Helix platform through which it is provided.
7. NO GUARANTEE OF RECRUITMENT, ADMISSION, SCHOLARSHIPS, OR ROSTER PLACEMENT
Liquid Helix provides opportunities for players and collegiate programs to connect. Liquid Helix does not guarantee that participation in a Showcase, creation of a player profile, or use of any Liquid Helix Service will result in:
- recruitment by a college or university;
- contact from a college coach;
- admission to a college or university;
- placement on a collegiate esports roster;
- a scholarship, grant, financial award, or other financial assistance;
- an offer to participate in a collegiate program; or
- any particular recruiting, academic, competitive, or career outcome.
College admissions, scholarships, financial assistance, roster decisions, eligibility requirements, and recruiting decisions are controlled by the applicable educational institution or other third party and not by Liquid Helix.
Statements regarding recruiting opportunities are descriptions of the purpose and structure of Liquid Helix programs and should not be interpreted as promises of a particular result.
8. SHOWCASE AND EVENT REGISTRATION
Registration for a Liquid Helix Showcase or other event may be subject to event-specific requirements in addition to these Terms.
Those requirements may include:
- registration deadlines;
- roster requirements;
- age or eligibility requirements;
- payment requirements;
- event rules;
- codes of conduct;
- player, parent, or coach waivers;
- media releases or permissions;
- equipment or venue rules; and
- other participation terms.
If an event-specific participation agreement or waiver conflicts with these Terms regarding participation in that event, the event-specific agreement will control with respect to that subject matter.
Liquid Helix may refuse or cancel participation when necessary to enforce event requirements, protect participants, comply with venue requirements, maintain event integrity, or address safety or misconduct concerns.
9. EVENT FORMAT, SCHEDULES, AND CHANGES
Liquid Helix strives to provide accurate event schedules, formats, participating-program information, and other event details. However, esports events involve circumstances that may require changes.
Liquid Helix may reasonably modify:
- schedules;
- match times;
- game assignments;
- participating teams;
- event programming;
- speakers or educational sessions;
- venue layouts;
- competition equipment;
- game titles or formats;
- college coach participation; and
- other operational elements of an event.
College programs or individual coaches identified as expected or registered attendees may change their plans or withdraw. Liquid Helix does not guarantee the attendance of any particular college, university, coach, recruiter, or number of collegiate programs unless expressly stated otherwise in writing.
Material event cancellations, postponements, or registration-related remedies will be handled in accordance with the applicable registration terms or refund policy communicated for that event.
10. FEES, PAYMENTS, AND REFUNDS
Certain Liquid Helix Services and events require payment.
You agree to pay the fees disclosed to you at the time of registration or purchase, including applicable taxes or processing charges if disclosed.
Event-specific pricing, promotional pricing, discounts, refund terms, cancellation terms, and payment deadlines will be communicated through the applicable event page, registration process, invoice, purchase order, checkout process, or other registration materials.
Unless otherwise required by law, eligibility for a refund or credit is determined by the refund or cancellation terms applicable to the particular registration or transaction.
Liquid Helix may correct pricing or billing errors and will communicate with affected customers when appropriate.
11. USER CONTENT
The Services may allow users to submit information, text, photographs, videos, logos, team information, profile materials, or other content (“User Content”).
You retain ownership of your User Content.
By submitting User Content to Liquid Helix, you grant Liquid Helix a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, transmit, and otherwise use that content as reasonably necessary to:
- provide and operate the Services;
- administer Liquid Helix events;
- create recruiting profiles and materials;
- provide authorized recruiting information to eligible users;
- maintain and improve the Services; and
- exercise other permissions that you separately grant to Liquid Helix.
This license does not give Liquid Helix ownership of your User Content.
Additional permissions concerning photographs, recordings, livestreams, promotional materials, or event media may be addressed in applicable event waivers, releases, registration terms, or other consent forms.
You represent that you have the right to provide User Content that you submit and that our authorized use of that content will not violate the rights of another person.
12. ACCEPTABLE USE
You agree not to use the Services to:
- violate any applicable law or regulation;
- impersonate another person or organization;
- misrepresent your identity, affiliation, qualifications, or authority;
- provide knowingly false or materially misleading information;
- harass, threaten, abuse, discriminate against, or harm another person;
- upload malicious software or interfere with the operation or security of the Services;
- attempt to gain unauthorized access to accounts, systems, or information;
- scrape, crawl, harvest, or systematically extract data except as expressly authorized by Liquid Helix;
- circumvent access controls or security measures;
- use automated systems to access the Services in a manner that places an unreasonable burden on our systems;
- copy or commercially exploit the Services except as expressly permitted;
- use player or coach information for unauthorized advertising, marketing, or solicitation;
- engage in cheating, match manipulation, or other conduct that undermines the integrity of a Liquid Helix event; or
- encourage another person to engage in prohibited activity.
Liquid Helix may investigate suspected violations and may suspend or terminate access when reasonably necessary to protect the Services, participants, or other users.
13. INTELLECTUAL PROPERTY
Except for User Content and third-party materials, the Services and the materials made available through them—including the Liquid Helix name, Helix Hub, website design, software, text, graphics, logos, event materials, databases, recruiting materials, compilations, and other content—are owned by or licensed to Liquid Helix and are protected by applicable intellectual property laws.
You may use these materials only for their intended personal, educational, recruiting, or institutional purposes in connection with the Services.
Nothing in these Terms grants you ownership of Liquid Helix intellectual property.
You may not reproduce, distribute, modify, sell, license, reverse engineer, or commercially exploit Liquid Helix software or proprietary materials except with our written authorization or as otherwise permitted by law.
14. THIRD-PARTY GAMES, SERVICES, AND TRADEMARKS
Liquid Helix Showcases may involve video games, platforms, software, websites, payment providers, educational institutions, venues, and other products or services operated by third parties.
Third-party products and services may be governed by their own terms, privacy policies, licenses, eligibility rules, and technical requirements.
Unless expressly stated otherwise, Liquid Helix is not affiliated with, endorsed by, sponsored by, or operated by the publishers or owners of the video games used at Liquid Helix events.
Game titles, trademarks, logos, and other third-party intellectual property belong to their respective owners.
Liquid Helix is not responsible for changes to third-party games, platforms, accounts, ranking systems, servers, software, or services that are outside Liquid Helix’s control.
15. THIRD-PARTY LINKS
The Services may contain links to websites or services operated by colleges, universities, event partners, sponsors, game publishers, social media platforms, or other third parties.
Liquid Helix does not control those third-party services and is not responsible for their content, availability, privacy practices, or terms.
A link to a third-party service does not necessarily constitute an endorsement of that service.
16. PRIVACY
Our collection, use, disclosure, and protection of personal information is described in the Liquid Helix Privacy Policy, which is incorporated into these Terms by reference.
Please review the Privacy Policy before providing personal information through the Services.
Event registrations or participation may involve additional privacy notices, disclosures, or consents where appropriate.
17. SERVICE AVAILABILITY
We work to maintain reliable Services, but we do not guarantee that the website, Helix Hub, or any feature will always be available, uninterrupted, secure, or error-free.
Maintenance, technical failures, internet outages, cybersecurity incidents, third-party service failures, software updates, or other circumstances may temporarily affect availability.
We may modify, suspend, or discontinue portions of the Services when reasonably necessary.
18. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
LIQUID HELIX DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
LIQUID HELIX DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
- INFORMATION PROVIDED BY USERS OR THIRD PARTIES WILL ALWAYS BE COMPLETE OR ACCURATE;
- A PARTICULAR COLLEGE COACH OR PROGRAM WILL ATTEND AN EVENT;
- A PLAYER WILL BE RECRUITED OR CONTACTED;
- A PLAYER WILL RECEIVE ADMISSION, SCHOLARSHIPS, FINANCIAL ASSISTANCE, OR ROSTER PLACEMENT; OR
- USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR RESULT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
19. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIQUID HELIX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES ARISING FROM LOSS OF DATA, LOSS OF OPPORTUNITY, LOSS OF REVENUE, SERVICE INTERRUPTION, THIRD-PARTY CONDUCT, OR RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, LIQUID HELIX’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE ONLINE SERVICES WILL NOT EXCEED THE GREATER OF:
- the amount you paid directly to Liquid Helix for the Service giving rise to the claim during the twelve months preceding the event giving rise to the claim; or
- $100.
The foregoing limitation does not apply to liability that cannot lawfully be excluded or limited.
Claims arising from personal injury or physical participation at an event may also be governed by applicable event waivers or participation agreements.
20. INDEMNIFICATION
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Liquid Helix and its officers, employees, agents, and contractors from claims, liabilities, damages, losses, and reasonable costs arising from:
- your material violation of these Terms;
- your unlawful use of the Services;
- User Content you submit in violation of another person’s rights; or
- your unauthorized use or disclosure of information obtained through the Services.
This section does not require an individual consumer to indemnify Liquid Helix for Liquid Helix’s own negligence, willful misconduct, or violation of law.
21. ACCOUNT SUSPENSION AND TERMINATION
You may stop using the Services at any time.
Liquid Helix may suspend, restrict, or terminate access to the Services if we reasonably determine that:
- you have materially violated these Terms;
- your activity creates a security or privacy risk;
- your use threatens other users or the operation of the Services;
- you are no longer eligible for the applicable account type;
- continued access would violate law or contractual obligations; or
- suspension or termination is otherwise reasonably necessary to protect Liquid Helix, participants, schools, colleges, or other users.
Where appropriate, Liquid Helix may provide notice or an opportunity to correct a violation before terminating an account.
Termination of an account does not automatically eliminate obligations or rights that by their nature should survive termination.
22. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to the Services, our business practices, or applicable requirements.
When we make material changes, we will update the effective date and provide additional notice when appropriate.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If a change requires affirmative consent under applicable law, we will request that consent separately.
23. GOVERNING LAW
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
Any legal action relating to these Terms or the Services that is not subject to another enforceable dispute-resolution agreement shall be brought in a court of competent jurisdiction in Illinois, subject to any venue or jurisdiction rights that cannot lawfully be waived.
Nothing in these Terms eliminates rights or remedies that a consumer may have under applicable consumer-protection laws.
24. GENERAL TERMS
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
You may not transfer your rights or obligations under these Terms without our consent. Liquid Helix may transfer these Terms in connection with a merger, reorganization, sale of assets, corporate restructuring, or similar transaction.
These Terms, together with the Privacy Policy and any applicable event-specific agreements, registration terms, waivers, or policies, constitute the applicable agreement between you and Liquid Helix concerning the Services.
